Toward a new theory of nonprofit liability.

Abstract

The law of nonprofit organizations grows slowly from a set of basic principles derived from laws associated with trusts and corporations into a complex doctrine involving important social policies. Nonprofit organizations require a set of unified principles governing their organization and administration. As nonprofits continue to grow in size and complexity, their directors must be aware of the legal liabilities for themselves and the board. A study examined the duties and responsibilities of directors of nonprofit organizations, as well as the range of defenses available before and after a lawsuit.
